Ensemble Scheduler Terms of Use

These Terms of Use ("Terms") govern your use of the Ensemble Scheduler website at ensemblescheduler.com and the Ensemble Scheduler application (together, the "Services"). The Services are provided by SeaChi Group LLC, a Washington limited liability company, d/b/a Ensemble Scheduler ("Ensemble," "we," or "us"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
When you first sign in to the application, you will be asked to confirm, by checking a box, that you have read and accept these Terms. We keep a record of that acceptance, including the date and time and the version of the Terms you accepted.
1. Who the Services are for
The application is for staff of school districts that have a signed agreement with Ensemble (each, a "Participating District") and whom their district has authorized to use it. Students and parents do not have accounts. The Services are intended for adult, professional use and are not directed to children.
2. Your district’s agreement controls
Ensemble’s relationship with each Participating District is governed by the written agreement between Ensemble and that district, including the Pilot Program Memorandum of Understanding and the Student Data Privacy and AI Addendum (together, the "District Agreement"). If these Terms conflict with a District Agreement, the District Agreement controls.
These Terms apply to your individual use of the Services. They do not bind your district, do not add to your district’s obligations, and do not limit any right or protection your district has under its District Agreement.
3. Student data
Student information in the application belongs to and is controlled by the Participating District.
Information entered into the application is handled as described in the District Agreement. Our Privacy Statement (ensemblescheduler.com/privacy) covers information collected through our website. Our AI and data page (ensemblescheduler.com/ai-and-data) explains how the application uses AI and which service providers support it.
- Enter only data your district has authorized you to use in the Services.
- Provide IEP documents only through the application’s upload feature. Please do not send student records to Ensemble by email or any other channel.
4. Your account
Keep your sign-in credentials confidential and do not share your account. You are responsible for activity under your account. If you suspect unauthorized access, tell us promptly at privacy@ensemblescheduler.com. Your district may add, change, or remove your access at any time.
5. Acceptable use
Use the Services only for your district’s scheduling and service-delivery work. Do not:
- access or attempt to access data you are not authorized to see;
- attempt to bypass security or access controls, or test the Services for vulnerabilities without our written permission;
- copy, scrape, reverse engineer, resell, or build a competing product from the Services;
- upload malicious code or interfere with the operation of the Services; or
- use the Services in violation of law or the rights of others.
6. AI-assisted features and professional judgment
Some features use AI to read service information from documents you upload. Extracted information is shown to you for review before it is saved; please check it against the source document.
The Services are scheduling and documentation tools. They do not make decisions about students and are not legal, compliance, or clinical advice. You and your district remain responsible for decisions about students’ services and for meeting IEP and legal requirements.
7. Pilot services
During the pilot, the Services are provided at no cost and are under active development. Features may be added, changed, or removed, and the Services may occasionally be unavailable for maintenance or updates. We will try to give notice of planned downtime. Commitments to your district are set out in its District Agreement.
8. Feedback
Feedback is a core part of the pilot and always welcome. You agree that we may use feedback you provide to improve the Services without obligation to you. This does not give us any rights to student data or other district data, which remain governed by the District Agreement. We will not identify you or your district publicly without permission.
9. Ownership
Ensemble owns the Services, including the software, design, content, and the Ensemble name and marks. While your access is active, you have a limited, non-transferable right to use the Services for your district’s purposes. Districts own their data.
10. Third-party services and links
The Services rely on third-party providers (listed on our AI and data page) and may link to third-party websites. We are not responsible for third-party websites we do not control.
11. Suspension and termination
We may suspend or end your access if you violate these Terms, if needed to protect the Services, student data, or other users, or if your district’s agreement ends. Where practical, we will notify you and your district first. You may stop using the Services at any time. What happens to district data when an agreement ends is governed by the District Agreement. Sections 8, 9, 12, 13, 15, and 16 survive termination.
12. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN A DISTRICT AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND TO THE FULLEST EXTENT PERMITTED BY LAW ENSEMBLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ENSEMBLE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. FOR CLAIMS COVERED BY A DISTRICT AGREEMENT, THE LIMITATIONS IN THAT AGREEMENT APPLY. FOR ALL OTHER CLAIMS, ENSEMBLE’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
14. Changes to these Terms
We may update these Terms. We will post the updated version here with a new "Last updated" date and will notify Participating Districts’ designated contacts of material changes. For material changes, we will ask you to accept the updated Terms the next time you sign in. For other updates, continued use after the update means you accept the updated Terms. Updates to these Terms never change a District Agreement.
15. Governing law
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Except where a District Agreement provides otherwise, disputes will be resolved in the state or federal courts located in King County, Washington.
16. General
These Terms, together with our Privacy Statement, are the complete terms governing your individual use of the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them in connection with a merger, reorganization, conversion, or sale of all or substantially all of our business or assets.
